Live Like A Super Affiliate Publishers Charity Competition Rules

The Live Like a Super Affiliate Publishers Charity Competition (the “Bonus Program”) is sponsored by IntegraClick, Inc. (“Clickbooth”). The following Live Like a Super Affiliate Publishers Charity Competition Rules (the “Rules”) shall govern your ability to earn certain performance bonus prizes (“Bonus Prizes”) as an affiliate (“Affiliate”) of the Clickbooth affiliate network (“Network”). Please review the Rules carefully.

ELIGIBILITY:

The Bonus Program is open to individuals who are at least eighteen (18) years of age, as well as valid business entities, that: (a) are already registered as Affiliates of the Network as of October 28, 2009; or (b) register as Affiliates of the Network between October 28, 2009 and December 31, 2009 (the “Bonus Program Period”).

HOW TO PARTICIPATE IN THE BONUS PROGRAM:

All individuals and/or entities that are Affiliates in good standing as of the commencement of the Bonus Program Period shall be automatically eligible to win Bonus Prizes. Individuals that are not already Affiliates wishing to take advantage of the Bonus Program must first visit the Clickbooth website located at www.clickbooth.com and complete the applicable registration process. In order to complete the Clickbooth Affiliate registration process, each registrant must include his, her or its correct and verifiable: (a) full name; (b) full mailing address; (c) telephone number; (d) fax number; (e) e-mail address; (f) PayPal e-mail address; and (g) questions pertaining to his/her/its affiliate marketing business/practices (collectively, “Registration Data”). All completed registrations must be received by 11:59:59 p.m. Eastern Standard Time (“EST”) of the last day of the Bonus Program Period in order to be eligible for Bonus Prizes. Clickbooth is not responsible for registrations that are lost, late, misdirected, damaged, incomplete or incorrect.

HOW TO EARN BONUS PRIZES

Network Affiliates shall have the opportunity to earn Bonus Prizes above and beyond the commissions (“Commissions”) that Affiliates already may earn from Clickbooth’s advertising partners (“Advertisers”) in connection with such Affiliates’ marketing of Advertiser products and/or services by and through the Network. Bonus Prizes will be awarded to Affiliates based on the Net Revenue earned during the Bonus Program Period. For purposes of these Rules, “Net Revenue” shall be defined as all Commissions earned by an Affiliate from Clickbooth’s Advertisers, less any subsequent deductions for invalid leads, chargebacks or other disqualifying events (collectively, “Chargebacks”). ALL DETERMINATIONS REGARDING COMMISSIONS AND CHARGEBACKS SHALL BE MADE BY CLICKBOOTH IN ITS SOLE AND ABSOLUTE DISCRETION.

BONUS PRIZES

Bonus Prizes shall be made according to the following schedule:

(a) Where an Affiliate earns Ten Thousand Dollars ($10,000.00) or more in Net Revenue during the Bonus Program Period (but less than Twenty-Five Thousand Dollars ($25,000.00)), Clickbooth shall award that Affiliate a Sharper Image DV518 Video Camera, with a retail value of approximately One Hundred Dollars ($100.00).

(b) Where an Affiliate earns Twenty-Five Thousand Dollars ($25,000.00) or more in Net Revenue during the Bonus Program Period (but less than Fifty Thousand Dollars ($50,000.00)), Clickbooth shall award that Affiliate a Two Hundred and Fifty Dollar ($250.00) gift certificate to a spa of the Affiliate’s choice (“Day at the Spa Prize”), with a retail value of approximately Two Hundred and Fifty Dollars ($250.00). Affiliates that are awarded the Day at the Spa Prize must give at least thirty (30) days’ written notice to Clickbooth regarding the spa selected before receiving the associated gift certificate. The Day at the Spa Prize must be used prior to June 30, 2010.

(c) Where an Affiliate earns Fifty Thousand Dollars ($50,000.00) or more in Net Revenue during the Bonus Program Period (but less than One Hundred Thousand Dollars ($100,000.00)), Clickbooth shall award that Affiliate a Three Hundred Dollar ($300.00) gift certificate to Ticketmaster, as well as a chauffeured limousine service for up to two (2) hours for use during the applicable event attended using the Ticketmaster gift certificate (“Ticketmaster and Limousine Prize”). The Ticketmaster and Limousine Prize has a combined retail value of approximately Five Hundred Dollars ($500.00). Affiliates that are awarded the Ticketmaster and Limousine Prize must give at least thirty (30) days’ prior written notice to Clickbooth in order to reserve the applicable limousine. The limousine portion of the Ticketmaster and Limousine Prize must be used prior to June 30, 2010. Please be advised that Clickbooth is not in any way affiliated with Ticketmaster, and the Bonus Program is neither endorsed, nor sponsored, by Ticketmaster. Ticketmaster® is a registered trademark of Ticketmaster Entertainment, Inc.

(d) Where an Affiliate earns One Hundred Thousand Dollars ($100,000.00) or more in Net Revenue during the Bonus Program Period (but less than Two Hundred and Fifty Thousand Dollars ($250,000.00)), Clickbooth shall award that Affiliate, for use with up to twelve (12) friends, a chauffeured Hummer brand limousine service, complete with fully stocked bar, for up to four (4) hours (“Hummer Prize”). The Hummer Prize has a retail value of approximately One Thousand Dollars ($1,000.00). Affiliates that are awarded the Hummer Prize must give at least thirty (30) days’ prior written notice to Clickbooth in order to reserve the applicable limousine. The Hummer Prize must be used prior to June 30, 2010. Please be advised that any alcoholic beverages shall only be made available to individuals over twenty-one (21) years of age. Please be advised that Clickbooth is not in any way affiliated with Hummer, and the Bonus Program is neither endorsed, nor sponsored, by Hummer or Sichuan Tengzhong Heavy Industrial Machinery Company Ltd. Hummer® is a registered trademark of Sichuan Tengzhong Heavy Industrial Machinery Company Ltd.

(e) Where an Affiliate earns Two Hundred and Fifty Thousand Dollars ($250,000.00) or more in Net Revenue during the Bonus Program Period (but less than Five Hundred Thousand Dollars ($500,000.00)), Clickbooth shall award that Affiliate a two (2) night, three (3) day trip for two (2) to tour the Grand Canyon, including airfare and hotel accommodations as selected by Clickbooth (“Grand Canyon Tour Prize”). The Grand Canyon Tour Prize has a retail value of approximately Two Thousand Five Hundred Dollars ($2,500.00). Affiliates that are awarded the Grand Canyon Tour Prize must give at least sixty (60) days’ written to Clickbooth prior to booking the trip. The Grand Canyon Tour Prize must be used prior to June 1, 2010. Please be advised that reservations are subject to availability. Certain blackout dates apply to the Grand Canyon Tour Prize.

(f) Where an Affiliate earns Five Hundred Thousand Dollars ($500,000.00) or more in Net Revenue during the Bonus Program Period (but less than Seven Hundred and Fifty Thousand Dollars ($750,000.00)), Clickbooth shall award that Affiliate: (i) a two (2) night, three (3) day trip for two (2) to Miami, Florida, including airfare, hotel accommodations as selected by Clickbooth; and (ii) a “Fighter Pilot for a Day” package as offered by Cloud 9 Living LLC (collectively, the “Fighter Pilot for a Day Prize”). The Fighter Pilot for a Day Prize has a combined retail value of approximately Five Thousand Dollars ($5,000.00). Affiliates that are awarded the Fighter Pilot for a Day Prize must give at least sixty (60) days’ written notice to Clickbooth prior to booking the trip. The Fighter Pilot for a Day Prize must be used prior to August 1, 2010. Certain physical restrictions such as height and weight may apply. Please be advised that reservations are subject to availability. Certain blackout dates apply to the Fighter Pilot for a Day Prize. Please be advised that Clickbooth is not in any way affiliated with the Cloud 9 Living LLC, and the Bonus Program is neither endorsed, nor sponsored, by Super Cloud 9 Living LLC.

(g) Where an Affiliate earns Seven Hundred and Fifty Thousand Dollars ($750,000.00) or more in Net Revenue during the Bonus Program Period (but less than One Million Dollars ($1,000,000.00)), Clickbooth shall award that Affiliate a four (4) night, five (5) day trip for two (2) to Aspen, Colorado, including two (2) five (5) day lift passes at a participating ski resort, airfare and hotel accommodations as selected by Clickbooth (“Aspen Ski Trip Prize”). The Aspen Ski Trip Prize has a retail value of approximately Seven Thousand Five Hundred Dollars ($7,500.00). Affiliates that are awarded the Aspen Ski Trip Prize must give at least sixty (60) days’ prior written notice to Clickbooth prior to booking the trip. The Aspen Ski Trip Prize must be used prior to August 31, 2010. Please be advised that reservations are subject to availability. Certain blackout dates apply to the Aspen Ski Trip Prize.

(h) Where an Affiliate earns One Million Dollars ($1,000,000.00) or more in Net Revenue during the Bonus Program Period (but less than One Million Five Hundred Thousand Dollars ($1,500,000.00)), Clickbooth shall award that Affiliate: (i) a four (4) night, five (5) day trip for two (2) to Isla Guadalupe, Mexico, including airfare, hotel accommodations as selected by Clickbooth; (ii) a “Dive with Great White Sharks” package as offered by Cloud 9 Living LLC (collectively, the “Dive with Great White Sharks Prize”); and (iii) a Sharper Image DV518 Video Camera, with a retail value of approximately One Hundred Dollars ($100.00). The Dive with Great White Sharks Prize has a combined retail value of approximately Ten Thousand Dollars ($10,000.00). Affiliates that are awarded the Dive with Great White Sharks Prize must give at least one hundred and fifty (150) days’ written notice to Clickbooth prior to booking the trip. The Dive with Great White Sharks Prize is only available between the months of September and December. Please be advised that reservations are subject to availability. Certain blackout dates apply to the Dive with Great White Sharks Prize. Please be advised that Clickbooth is not in any way affiliated with the Cloud 9 Living LLC, and the Bonus Program is neither endorsed, nor sponsored, by Super Cloud 9 Living LLC.

(i) Where an Affiliate earns One Million Five Hundred Thousand Dollars ($1,500,000.00) or more in Net Revenue during the Bonus Program Period (but less than Two Million Dollars ($2,000,000.00)), Clickbooth shall award that Affiliate: (i) a seven (7) day, six (6) night trip for two (2) to Hawaii, including airfare and hotel accommodations as selected by Clickbooth (“Hawaii Prize”), with a retail value of approximately Fifteen Thousand Dollars ($15,000.00); and (ii) a Sharper Image DV518 Video Camera, with a retail value of approximately One Hundred Dollars ($100.00). Affiliates that are awarded the Hawaii Prize must give at least sixty (60) days’ written notice to Clickbooth prior to booking the trip. The Hawaii Prize must be used prior to June 31, 2010. Please be advised that reservations are subject to availability. Certain blackout dates apply to the Hawaii Prize.

(j) Where an Affiliate earns Two Million Dollars ($2,000,000.00) or more in Net Revenue during the Bonus Program Period, Clickbooth shall award that Affiliate: (i) a eight (8) day, seven (7) night trip for two (2) to Miami, Florida, including airfare and hotel accommodations as selected by Clickbooth (“Miami Prize”); (ii) two (2) tickets to Super Bowl XLIV (“Super Bowl Prize”); and (iii) a Sharper Image DV518 Video Camera, with a retail value of approximately One Hundred Dollars ($100.00). The Miami Prize and Super Bowl Prize have a combined retail value of approximately Twenty Thousand Dollars ($20,000.00). Affiliates that are awarded the Miami Prize must give at least sixty (60) days’ written notice to Clickbooth prior to booking the trip. Where an Affiliate is awarded the Super Bowl Prize that Affiliate must give Clickbooth written notice regarding whether or not he/she plans on attending Super Bowl XLIV within ten (10) days of Clickbooth providing that Affiliate with a Bonus Prize notification. Please be advised that reservations are subject to availability. Certain blackout dates apply to the Miami Prize. Please be advised that Clickbooth is not in any way affiliated with the National Football League, and the Bonus Program is neither endorsed, nor sponsored, by Super Bowl XLIV or the National Football League. Super Bowl XLIV® is a registered trademark of the National Football League.

PLEASE BE ADVISED THAT THE BONUS PRIZES ARE NOT CUMULATIVE, AND AFFILIATES SHALL ONLY BE ENTITLED TO ONE (1) BONUS PRIZE BASED ON THE HIGHEST NET REVENUE THRESHOLD ATTAINED.

Bonus Prizes are only available to residents of the United States. Bonus Prize winners that are not residents of the United States shall, instead, receive pre-paid Visa gift cards (“Visa Gift Cards”) in the amount equal to the approximate retail value for the applicable Bonus Prize(s) won by those Affiliates.

Within thirty (30) days of receipt of notice of winning a Bonus Prize, Bonus Prize winners may opt to take a Visa Gift Card in the amount equal to the approximate retail value of the applicable Bonus Prize(s) won instead of the applicable Bonus Prize(s); provided, however, that, no substitution of Bonus Prize(s) is permissible for the Super Bowl Prize.

Clickbooth may substitute a Bonus Prize for a Visa Gift Card equal to the approximate retail value of the applicable Bonus Prize at any time, in its sole discretion.

The Visa Gift Cards are made available and serviced by Visa USA. The “Visa” name and logo are registered trademarks of Visa USA. Visa USA does not sponsor or endorse and is not affiliated in any way with the Bonus Program.

NETWORK AGREEMENTS

The Bonus Program, and each Affiliate’s participation in the Network, shall be governed by all applicable Network agreements that prospective Affiliates agreed to during the registration process (“Network Agreements”). These Rules are hereby incorporated into the Network Agreements, and any and all terms and conditions contained therein shall apply to these Rules. Where there is a conflict between the terms and conditions of these Rules and those of the Network Agreements, the Network Agreements shall govern in all respects.
